Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Workshop Boss platform (“the Service”). The Service is operated by AutoCircuit Solutions Ltd (trading as Essex Recons). By registering for or using the Service you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • “Workshop Boss” / “we” / “us” means AutoCircuit Solutions Ltd (trading as Essex Recons), company number 16403398, a company registered in England and Wales with its registered office at 181-183 Station Lane, Hornchurch, Essex, RM12 6LL.
  • “You” / “Customer” means the garage business and the individual(s) who register for and use the Service on its behalf.
  • “Service” means the Workshop Boss web application, APIs, and any related features, updates, and support we make available.
  • “Subscription” means the recurring billing plan you select when registering for the Service.
  • “Customer Data” means all data, records, and content that you submit to or generate through the Service, including vehicle records, job cards, customer details, and invoices.

2. Eligibility and Account Registration

The Service is intended for use by businesses operating in the United Kingdom. You must be at least 18 years old and have the authority to enter into a binding contract on behalf of your business to create an account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at tony@essexrecons.com if you suspect any unauthorised access.

3. Subscription and Billing

3.1 Subscription Plans

The Service is provided on a subscription basis. Details of current plans, pricing, and features are published on our pricing page. All prices are quoted exclusive of VAT. VAT at the standard rate (currently 20%) will be added to invoices for UK customers.

3.2 Payment

Subscriptions are billed monthly or annually in advance. Payment is processed securely by Stripe. By providing payment details you authorise us to charge the applicable fees on a recurring basis. You must keep your payment information up to date.

3.3 Free Trial

We may offer a free trial period. At the end of the trial your account will automatically convert to a paid subscription unless you cancel before the trial expires. No charges are made during the trial period.

3.4 Price Changes

We reserve the right to change subscription prices. We will give you at least 30 days’ written notice of any price increase. Continued use of the Service after the effective date constitutes acceptance of the new price.

3.5 Refunds

Subscription fees are non-refundable except where required by law or at our sole discretion. If you cancel mid-period you will retain access until the end of the current billing cycle.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or otherwise transfer access to the Service to third parties without our prior written consent.
  • Upload or transmit malicious code, viruses, or any material that is harmful, defamatory, or infringes third-party rights.
  • Use the Service in a way that could damage, disable, or impair its performance.
  • Use automated tools (bots, scrapers) to access the Service except where expressly permitted by our API terms.

5. Intellectual Property

5.1 Our IP

Workshop Boss and all associated software, logos, trademarks, and content are owned by AutoCircuit Solutions Ltd or our licensors. These Terms do not grant you any rights in our intellectual property other than the limited licence to use the Service described herein.

5.2 Your Data

You retain all ownership rights in your Customer Data. You grant AutoCircuit Solutions Ltd a limited, non-exclusive licence to store, process, and transmit your Customer Data solely to the extent necessary to provide the Service. We will not sell your Customer Data to third parties.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free licence to use that feedback without any obligation to you.

6. Data and Privacy

We process personal data in accordance with our Privacy Policy and applicable UK data protection law, including the UK GDPR and the Data Protection Act 2018. By using the Service, you confirm that you have all necessary consents and legal bases to provide us with the personal data of your own customers.

You are the data controller for your Customer Data. AutoCircuit Solutions Ltd acts as a data processor on your behalf. A Data Processing Agreement is available upon request.

7. Availability and Support

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. Planned maintenance will be communicated in advance where possible. We provide support via email during UK business hours (Monday–Friday, 09:00–17:30 GMT/BST).

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranty of any kind, express or implied. To the fullest extent permitted by law, AutoCircuit Solutions Ltd disclaims all implied warranties, including but not limited to fitness for a particular purpose, merchantability, and non-infringement.

AI-generated content (diagnostic suggestions, business insights) is provided for informational purposes only and does not constitute professional mechanical, legal, or financial advice. You are solely responsible for any decisions made on the basis of AI-generated content.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the aggregate liability of AutoCircuit Solutions Ltd to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

In no event shall AutoCircuit Solutions Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

10. Indemnity

You agree to indemnify and hold harmless AutoCircuit Solutions Ltd, its directors, employees, and agents from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

11.1 By You

You may cancel your subscription at any time via the billing settings in your dashboard or by contacting us at tony@essexrecons.com. Cancellation takes effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or if we are required to do so by law. We may also terminate the Service on 30 days’ notice for any other reason.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your Customer Data for 30 days following termination, during which you may request a data export. After this period your data will be permanently deleted, subject to any legal obligations to retain it.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us in the first instance to attempt to resolve any dispute informally.

14. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. These Terms constitute the entire agreement between you and AutoCircuit Solutions Ltd with respect to the Service.
